Re: Pacific Basin Value Fund (the Fund), a sub-fund of Dimensional Funds plc (the Company) Dear Shareholder,
We are writing to inform you that the Directors, on the recommendation of Dimensional Fund Advisors Ltd, the investment manager to the Company (the Investment Manager), have decided that it is in the best interests of all the Shareholders in the Fund to exercise their discretion to refuse to accept any further subscriptions or exchanges into the Fund from 26 June 2015 and thereafter to terminate the Fund. The Directors have made this decision in accordance with the provisions of the Company’s Articles of Association (the Articles) and Prospectus on the basis that the net asset value of the Fund as at 29 May 2015 is below EUR 25 million.
Consequently, the Directors have resolved, pursuant to Article 12 of the Articles, to compulsorily repurchase all of the Shares remaining in the Fund on 14 September 2015 and subsequently to terminate the Fund (the Termination Date). The Fund will begin to accrue for the cost of the termination of the Fund from the date of this letter. Accordingly, these costs will be taken into account when determining the amount of the distribution of proceeds to the Shareholders.
From 26 June 2015 up until 4pm (Irish time) on 11 September 2015 you may:
1. request to redeem your Shares in the Fund in accordance with the Prospectus. The proceeds will then be paid to the Shareholder in accordance with the Articles and the Prospectus; or 2. request to exchange your Shares in the Fund for Shares of the same Class in another sub-fund of  the Company in accordance with the Prospectus. No exchange fee will be charged by the Fund or the Investment Manager.
On the Termination Date, any existing holding in the Fund will be compulsorily redeemed and the relevant Shareholder(s) will be paid the proceeds deriving from the Shares held in the Fund in cash in due course, in accordance with the Articles and the Prospectus.
As part of the termination process, the Directors have requested that the Investment Manager realise all of the assets in the Fund, the net proceeds of which will be used to repurchase your Shares in the Fund.
Following realisation and/or transfer of all of the assets of the Fund, an application will be made in due course to the Central Bank for withdrawal of the Fund’s approval.
No Shareholder meeting or vote is necessary in connection with this matter. If you have any questions concerning the contents of this letter, please contact your usual contact at Dimensional.
